The Wall Street Journal, "The
New York bookseller said on July 12
that its board’s audit committee
will conduct a review of the
company’s stock-option practices
after a shareholder filed a lawsuit
alleging that the company improperly
backdated dozens of options grants
to executives. Barnes & Noble said
there was “no merit” to the suit. On
July 21, the company said the SEC is
conducting an informal inquiry into
its options practices. The company
said Aug. 29 that it has received a
subpoena from the U.S. Attorney's
Office for the Southern District of
New York related to its options
practices.
On April 4, 2007, the
company said its special committee
found "numerous instances" of
improper backdating but no intent to
defraud. Barnes & Noble will take a
$45.5 million charge.”
